Terms of Use

1 Introduction
1.1 www.ethical-junction.org (Ethical Junction) is operated by Ethical Junction CIC (we and us).
1.2 Ethical Junction CIC is an independent company.  We run a network of businesses and the network members are shown in our directory, post to our blog and display products, goods and services within our Shop.   Ethical Junction CIC allows you to read the blog, search the blog, post comments and communicate with other users, search the directory, browse products and services for sale by third parties, follow our members on Twitter and join Ethical Junction CIC as a member.
1.3 Members of Ethical Junction CIC are bound to our Membership Terms & Conditions, and must sign to our Ethical Policy.  Members of Ethical Junction CIC have the access as outlined in 1.2 and can also post to the blog, hold, maintain and update a directory listing, upload products and services for sale and advertise on the network.
1.3 Use of Ethical Junction CIC is on the terms contained in this document (Terms of Use). If you do not agree to these Terms of Use, please stop using Ethical Junction CIC immediately. By accessing and using Ethical Junction CIC you are indicating your acceptance to be bound by these Terms of Use. 
1.4 We reserve the right to change these Terms of Use from time to time without prior notice by changing them on Ethical Junction CIC.

2 Accessing Ethical Junction CIC
2.1 You must be at least 18 years of age and be legally capable of entering into a binding contract to use the Services offered by Ethical Junction CIC.
2.2 We cannot guarantee that Ethical Junction CIC will operate continuously or without interruptions or be error-free. You must not attempt to circumvent security, tamper with, hack into, or otherwise disrupt Ethical Junction CIC or any computer system, server, router or any other internet-connected device associated with Ethical Junction CIC.
2.3 You are responsible for ensuring that your computer system meets all relevant technical specifications necessary to use Ethical Junction CIC. You understand that we do not guarantee or warrant that any Ethical Junction CIC content will be free from infection, viruses and/or other code that has contaminating or destructive properties. You are responsible for implementing your own anti-virus and other security checks.
2.4 From time to time, we may restrict access to Ethical Junction CIC or certain features or parts of Ethical Junction CIC, to users who have registered with us. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.
2.5 We reserve the right, in our discretion, to withdraw, suspend or modify Ethical Junction CIC or certain features or parts of Ethical Junction CIC with or without notice to you, where we have reason to do so. There may also be times when Ethical Junction CIC or certain features or parts of Ethical Junction CIC become unavailable, whether on a scheduled or unscheduled basis. You agree that we will not be liable to you or to any third party for any withdrawal, modification, unavailability, suspension or discontinuance of Ethical Junction CIC or any service available on or through Ethical Junction CIC.

3 Display Name
3.1 You are free to choose your own Display Name. However, the Display Name you choose must not violate any applicable law, third-party rights or these Terms of Use. In respect of your Display Name you must, in particular:
3.1.1 not use the name of another person or entity;
3.1.2 not use a name that infringes any third party’s copyright, trademark or other intellectual property rights;
3.1.3 not use a name that could provoke or offend other members such as vulgar or insulting user names.
3.2 As the owner of the Display Name you are responsible for all material disseminated under your Display Name.

4 Acceptable Use Policy
4.1 You must use Ethical Junction CIC and the information available from Ethical Junction CIC responsibly. While using Ethical Junction CIC, you will not:
4.1.1 breach any applicable local, national or international law or regulation;
4.1.2 breach our policies including, without limitation, the Privacy policy and any other policies linked from these Terms of Use;
4.1.3 use Ethical Junction CIC in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
4.1.4 use Ethical Junction CIC for the purpose of harming or attempting to harm minors in any way;
4.1.5 send, knowingly receive, upload, download, use or re-use any material which does not comply with our Content Standards as set out in these Terms of Use;
4.1.6 post, list or upload Contributions in an inappropriate category or areas on Ethical Junction CIC;
4.1.7 fail to deliver payment for goods or services purchased by you, unless the seller has materially misrepresented the item, a clear typographical error is made, or you cannot authenticate the seller’s identity;
4.1.8 fail to deliver goods or services purchased from you, unless the buyer fails to meet the posted terms, or you cannot authenticate the buyer’s identity;
4.1.9 transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam);
4.1.10 knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware;
4.1.11 collect information about users, including email addresses, without their consent; or
4.1.12 post duplicate content without prior arrangement in writing from us.

5 Content Standards
5.1 As a user of Ethical Junction CIC you will have various opportunities to post material on Ethical Junction CIC including but not limited to blog posts, comments and tags (Contributions). The content standards set out in this clause (Content Standards) apply to any and all Contributions which are contributed by users to Ethical Junction CIC, and to any Services associated with it. All Contributions must:
5.1.1 be accurate (where they state facts);
5.1.2 be genuinely held (where they state opinions);
5.1.3 be decent, honest and truthful;
5.1.4 comply with all relevant legislation including, without limitation, the Consumer Protection from Unfair Trading Regulations 2008 and the Financial Services Act 1986;
5.1.5 comply with any codes of practice, guidance notes or any other similar recommendations issued by the Direct Marketing Association or the British Code of Advertising, Sales Promotion and Direct Marketing code of practice (CAP Code) as updated from time to time; and
5.1.6 not be misleading in any way and comply with any guidance given by the Advertising Standards Authority relating to the CAP Code.
5.2 Contributions must not:
5.2.1 contain any material which is defamatory of any person;
5.2.2 contain any material which is obscene, offensive, hateful or inflammatory;
5.2.3 promote sexually explicit material;
5.2.4 promote violence;
5.2.5 promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
5.2.6 infringe any copyright, database right or trade mark of any other person;
5.2.7 be likely to deceive any person;
5.2.8 be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence;
5.2.9 promote any illegal activity;
5.2.10 be threatening, abusive or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;
5.2.11 be likely to harass, upset, embarrass, alarm or annoy any other person;
5.2.12 be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
5.2.13 give the impression that they emanate from us, if this is not the case.
5.2.14 advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

6 Regulating Contributions
6.1 We reserve the right at our absolute discretion to refuse or remove any Contributions, to edit or reclassify any Contributions, or to withdraw the use of Ethical Junction CIC from any person or body as we see fit, without notice or notification and without being required to provide reasons.
6.2 We operate on the basis that all posts are moderated before being published on the live site. However, if you believe that any Contributions contain defamatory statements or otherwise breach these Terms of Use, please let us know using the contact details set out below.
6.3 You will not hold us responsible for any loss you may incur as a result of us taking any of the actions described in this Clause 6 nor for the actions or inactions of other users, including anything contained in their Contributions.

7 Accuracy of information
7.1 The Contributions posted on Ethical Junction CIC are the sole responsibility of the owner of the Display Name used to post the Contributions and we make no representation or warranty that any Contributions are accurate, complete or up-to-date and, to the fullest extent permitted by law, we accept no liability for any loss or damage caused by any reliance placed on such Contributions by you or anyone to whom you communicate such Contributions.
7.2 We do not review Contributions and are not involved in the actual transaction between buyers and sellers. We have no control over and do not guarantee the quality, safety or legality of goods or services advertised, the truth or accuracy of Contributions, the ability of sellers to sell goods or services, the ability of buyers to pay for goods or services, or that a buyer or seller will actually complete a transaction.
7.3 If you find any inaccurate information on Ethical Junction CIC please let us know using the contact details set out below and we will at our discretion endeavour to correct or remove it, where we agree, as soon as reasonably practicable.

8 Monitoring of Services
8.1 We are entitled to monitor any Services provided by Ethical Junction CIC. However, we are under no obligation to oversee, monitor or moderate the Services.
8.2 If you have a concern or any queries in relation to the monitoring then please contact us using the contact details below.

9 Intellectual Property Rights
9.1 We own all of the intellectual property rights in Ethical Junction CIC including, without limitation, the site, the name and the content other than in respect of your Contributions.
9.2 You retain the ownership rights in your Contributions and grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to exercise the copyright, publicity, trade marks, database rights and intellectual property rights you have in the Contributions, in any media known now or in the future. In addition, you waive all moral rights you have in the Contributions to the fullest extent permitted by law. You represent and warrant that you are entitled to grant such a license to us.
9.3 We have the right to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes an infringement of their intellectual property rights, or of their right to privacy.
9.4 We will not be responsible, or liable to any third party, for the content or accuracy of any Contributions posted by you or any other user of Ethical Junction CIC.
9.5 You may print off one copy, and may download extracts, of any page(s) from Ethical Junction CIC for your personal reference.
9.6 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
9.7 You must not use any part of the materials on Ethical Junction CIC for commercial purposes without obtaining a licence to do so from us or our licensors.
9.8 If you print off, copy or download any part of Ethical Junction CIC in breach of these Terms of Use, your right to use Ethical Junction CIC will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

10 Price and Payment
10.1 You may be required to pay for Services that are provided by Ethical Junction CIC. Where you are required to pay for any Services we will clearly indicate the amount which will need to be paid in full prior to us providing the Services to you.
10.2 We will commence supplying the Services to you as soon as you accept these Terms of Use and provide payment in full for any Services that require payment. Unless you and Ethical Junction CIC agree otherwise, you will not be able to cancel the Services under the Consumer Protection (Distance Selling) Regulations 2000 (or any equivalent legislation in your jurisdiction) once the supply of the Services has commenced.
10.3 We will not refund you for any Services that have commenced in the event that you later decide to cancel. Please be aware that you accept that the Services have commenced by providing full payment for the service, whether it is used immediately or not.
10.4 All requests by you for the provision of our Services are subject to acceptance by us. We may choose not to accept your request for any of our Services for any reason and will not be liable to you or to anyone else in those circumstances.
10.5 If you are required to pay for any of our Services, the formation of a contract between us will take place on receipt of payment in full for the relevant Services.
10.6 All prices for the Services are in pounds (£) sterling and exclusive of VAT or other sales tax, unless otherwise stated.
10.7 We may change the prices for the Services from time to time. We will notify you of any change in the prices in advance of any payment.
10.9 By using a credit/debit card to pay for your order, you confirm that the card being used is yours. All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not provide you with the relevant Services, we will not be obliged to inform you of the reason for the refusal, and we will not be liable for non-delivery of the Services. We are not responsible for your card issuer or bank charging you as a result of our processing of your credit/debit card payment in accordance with your order.
10.10 In the unlikely event that the price for using any of our Services has been incorrectly advertised on Ethical Junction CIC, we will contact you by email to ask whether you wish to proceed with using the relevant Services at the correct price. If you are not happy to proceed, or we are unable to obtain your instructions, we will cancel the Services provided to you.

11 Orders through Ethical Junction CIC Website
11.1 When ordering products or services advertised by third party sellers via Ethical Junction CIC, we act as agents on behalf of the third party sellers. The resulting legal contract is between you and that third party seller, and is subject to the terms and conditions of that third party seller. You should carefully review their terms and conditions applying to the transaction.
11.2 We cannot give any undertaking that products or services you purchase from third party sellers through Ethical Junction CIC, or from companies to whose website we have provided a link on our site, will be of satisfactory quality and any such warranties are DISCLAIMED by us absolutely. This DISCLAIMER does not affect your statutory rights against the third party seller.

12 Goods and Services Advertised
12.1 You must be legally entitled to offer the goods or services you advertise. The goods or services advertised via Ethical Junction CIC are not owned by us and we do not have control over the ownership or quality of the goods or services offered.
12.2 You must clearly indicate whether any goods or services which you are advertising are offered in the course of a trade, craft profession or business.
12.3 You must ensure that any goods or services that you advertise via Ethical Junction CIC do not breach any relevant laws or otherwise infringe the copyright, trade mark or other rights of third parties.
12.4 We give no warranty and make no representation, express or implied, as to:
12.4.1 the truth of any information given on Ethical Junction CIC by any user or third party;
12.4.2 any implied warranty or condition as to the satisfactory quality or fitness for a particular purpose of any goods or services advertised;
12.4.3 compliance with any law;
12.4.4 non-infringement of any right.

13 Links to This and Other Websites
13.1 We may provide links on Ethical Junction CIC to the websites of other companies, whether affiliated with us or not. We are not responsible for external websites that link to Ethical Junction CIC or which are linked from it.
13.2 You may link from another internet site to any page on Ethical Junction CIC provided that you do not misrepresent in any way the content of Ethical Junction CIC and ensure that any link complies with these Terms of Use.

14 Our Liability
14.1 Although we hope Ethical Junction CIC will be of interest to users, we accept no liability and offer no warranties or conditions in relation to Ethical Junction CIC or its content, to the fullest extent such liability can be excluded by law.
14.2 To the extent not prohibited by law, we accept no liability for any:
14.2.1 loss which is not reasonably foreseeable;
14.2.2 business loss (which includes loss of profits, contracts, goodwill, opportunity and other similar losses);
14.2.3 indirect or consequential loss.
14.3 We accept liability for death or personal injury caused by our negligence and responsibility for fraudulent misrepresentation and any other liability that cannot, under English law, be excluded.
14.4 We will not be liable to you where performance of any of our obligations is prevented or restricted by any circumstance or cause beyond our reasonable control.
14.5 If we are found to be liable, our liability to you or to any third party is limited to the greater of (a) the total amount you paid to us for the Services in the 12 months prior to the action giving rise to the liability, or (b) £100.

15 Your Responsibilities
15.1 It is your responsibility to ensure that you do not breach these Terms of Use or infringe any intellectual property or other right of any person or entity, or post any Contributions which are threatening, libellous, obscene, harassing or offensive. You agree to reimburse us for any costs arising out of your breach of this Clause 15.

16 Termination
16.1 You may immediately cancel the Services for any reason and at any time by using the cancellation procedure provided via Ethical Junction CIC.
16.2 We may immediately cancel the Services provided to you for any reason and at any time.
16.3 If we decide in our sole discretion that you have failed to comply with any of the Terms of Use, we may immediately terminate any of the Services provided to you without refunding to you any fees paid and without notice or notification.
16.4 If we cancel any Services provided to you, we shall have no liability to you whatsoever, and you release us from any such liability.
16.5 On termination of the Services by either party your right to use the terminated Services will immediately cease.
16.6 The rights granted to you under these Terms of Use shall terminate immediately upon your breach of any of these Terms of Use.

17 Competitions
Competitions may be held by Ethical Junction CIC from time to time. The following terms in this clause apply to all Ethical Junction CIC competitions in general and further rules will posted alongside the terms on the ‘how to enter’ section of any particular competition. When entering any Ethical Junction CIC competition you will be asked to agree to our terms and conditions. These will not only consist of these terms and conditions set out on this page but will also refer to the particular terms and conditions associated to each individual competition found on the ‘how to enter’ page of the relevant competition.
17.1 Entries to the competition must be original to the entrant.
17.2 Entries may use a nomdeplume for public display purposes but full contact address and details must be supplied to Ethical Junction CIC.
17.3 The winners will be announced on the Ethical Junction CIC website and will be contacted by the email address supplied.
17.4 We reserve the right to remove entries considered in our opinion for whatever reason to be unacceptable for the competition.
17.5 We reserve the right to consider any misappropriate behaviour and make adjustments accordingly.
17.6 If the winner is disqualified for any reason or is unable to be contacted within 60 days of the announcement Ethical Junction CIC reserves the right to choose the next appropriate winner from the shortlist.
17.7 All monetry prizes from Ethical Junction CIC will be paid in Pounds Sterling. Payment will be made by cheque or bank transfer.
17.8 The judges’ decision will be final and no discussion will be entered into.
17.9 The judges’ interpretation of the competition will be final and no discussion will be entered into.
17.10 Being a winner of an Ethical Junction CIC competition assigns no right for the winner to speak on behalf of Ethical Junction CIC and comes with no duties or responsibilities.
17.11 Whether you are a winner or not, as an entrant you may be included in PR activities to promote the competition itself along with the results.
17.12 Ethical Junction CIC holds the right to publish all entries to the competition in any public medium for the purpose of promoting the competition and Ethical Junction CIC’s work.
17.13 Copyright of all the entries is granted to Ethical Junction CIC for the purpose of promoting both Ethical Junction CIC and the competition itself.
17.14 Competitions are not open to employees and their families of Ethical Junction CIC or those of its associated companies.
17.15 Entrants to Ethical Junction CIC’s competitions take full responsibility for ensuring that the entry has been correctly submitted and uploaded and that it is made live on the website within the correct deadline and within the competition’s guidelines for entry. Incorrect entry uploading may lead to an entry being excluded from the competition.

18 General
18.1 We process information about you in accordance with our Privacy Policy. By using Ethical Junction CIC, you consent to such processing and you warrant that all data provided by you is accurate.
18.2 Any formal legal notices should be sent to us at the address at the end of these Terms of Use by email and confirmed by post.
18.3 Failure by us to enforce a right does not result in waiver of such right. You may not assign or transfer your rights under these Terms of Use.
18.4 If any part of these Terms of Use is found to be unenforceable as a matter of law, all other parts of these Terms of Use shall be unaffected and shall remain in force.
18.5 A person who is not a party to these Terms of Use shall not have any rights under or in connection with it by virtue of the Contracts (Rights of Third Parties) Act 1999.
18.6 We are required by law to inform you that purchases can be concluded in English only and that no public filing requirements apply.
18.7 You and we agree that English law applies to these Terms of Use and that any dispute between us regarding Ethical Junction CIC or arising out of or in connection with these Terms of Use will only be dealt with by the English courts, unless you are resident in another part of the United Kingdom, in which case the applicable law of that part of the United Kingdom will apply and any dispute will be brought before the courts there.
